1. About the MasGusto Rewards Program 

The MasGusto Rewards program (the “Program”) is a rewards program brought to you by MasGusto, Inc. (“MasGusto”). These MasGusto Rewards Program Terms & Conditions (the “Terms”) memorialize the terms, conditions, and offerings of the Program as it applies to the Program participants (the “Member”). By participating in the Program, you agree to these Terms. These Terms incorporate MasGusto’s Terms of Service (“ToS”) by reference. In the event of any dispute or discrepancy between the ToS and these Terms, the ToS shall govern and control.

2. Eligibility

Each MasGusto user account is automatically enrolled as a Member upon creation of a MasGusto user account. MasGusto may also enroll an account into the Program or remove an account from the Program at MasGusto’s sole discretion. Subject to the foregoing, only MasGusto accounts in good standing (without any history of fraud or suspension), are eligible to be a Program Member. 

Enrollment eligibility is on an account-by-account basis. The benefits and rights provided by the Program cannot be shared, transferred, or merged amongst MasGusto accounts, regardless if the multiple accounts are under one household or one individual. 

3. Program Membership Tiers and Windows

The Program offers three Membership tiers: Bronze, Silver, and Gold (the “Membership Tiers”). Each membership tier includes benefits made available by MasGusto (the “Benefits”). The terms and offerings of the Benefits are at the sole discretion of MasGusto, and MasGusto does not guarantee the continuation of any Benefits. MasGusto reserves the right, at its sole discretion, to amend, modify, change, remove, extend, terminate, or cancel any or all Benefits at any time without prior notice unless required by applicable law. 

Each Member begins at the Bronze tier. Each Member may be upgraded to the next tier (Bronze to Silver, Silver to Gold) by spending a minimum amount for the purchase of goods (“Minimum Spend”) in Grocery, Marketplace, or Pantry+ goods in a 90-day window (the “Earning Window”) as provided in the Program. The Minimum Spend shall only accumulate upon payment and delivery of the goods. Any cancellation or termination of the delivery before delivery of the goods shall not count toward the Minimum Spend. The Earning Window will commence on the date that a Member enrolls in the Program and end 90 days after the commencement date.

Upon spending the applicable minimum amount during an Earning Window, the Member will immediately be upgraded to the next tier. The Member will remain at that tier for the duration of the then-current Earning Window and subsequent Earning Window (the “Benefits Window”). If the Member does not meet the minimum spend required to maintain their current tier during an Earning Window, they will be downgraded to a lower tier according to the Minimum Spend they met at the beginning of the subsequent Benefits Window. Each 90-day Window works as the Benefits Window for the tier status gained by the Member in the prior Earning Window and as the Earning Window for users to achieve or secure tier status for the next Benefits Window.

By way of example:

• First 90 days: Member starts at Bronze Tier. The member spends $150. The member is upgraded to the Silver Tier.
• Second 90 days: Member starts at Silver Tier. The member spends $0. The member remains at the Silver Tier at the end.
• Third 90 days: The Member is downgraded to the Bronze Tier at the beginning. If the Member spends $150, the Member is upgraded to the Silver Tier. If the Member spends $350 towards the end, the Member is upgraded to the Gold Tier.
• Fourth 90 days: Member starts at Gold Tier. Member is assigned a tier in the fifth 90 days according to the Minimum Spend threshold met during this Earning Window.

4. Program Benefits

Benefits are privileges granted to program members differentiated by the Membership tiers. ("Program Benefits").

Program benefits are not redeemable for Wallet and have no cash value.

5. Changes, Termination, and/or Removal From Program 

MasGusto reserves the sole and exclusive right and discretion to exclude or terminate accounts or individuals from participating in the Program for any reason with or without cause, which may include if MasGusto determines (a) any abuse, manipulation, or "gaming" of the Program or its rules, (b) that an individual or account violated the Terms of the Program or the ToS, or (c) suspected or actual fraudulent activity. MasGusto also reserves the sole and exclusive right and discretion to reset the spending history in the Earning Window. Upon exclusion or termination of an account from participating in the Program, MasGusto reserves the sole right and discretion to allow such account to rejoin the Program.

6. Program Modification and Termination

MasGusto reserves the sole and exclusive right and discretion to modify or terminate the Program, or any part thereof, at any time without notice and further obligations to the Members, including, but not limited to, modifications or terminations of a) the Benefits, b) the Earnings Window, c) the Benefits Window, d) Membership Tiers, e) the Program, or f) any other terms or conditions of the Program. Any modification or termination will be binding upon the Members immediately.
